These Terms & Conditions ("Terms") govern your access to and use of the websites, software, AI agents, advisory services, and related offerings (collectively, the "Services") provided by Cogent Consulting Group, a corporation organized under the laws of the United States ("Cogent," "CCG," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Who You Are Contracting With

The Services are provided by Cogent Consulting Group. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you are an individual, you represent that you are of legal age to form a binding contract.

2. Description of Services

Cogent provides AI strategy, readiness assessments, and configurable AI agents (including, without limitation, revenue response, scheduling & intake, and operations & knowledge agents), along with related advisory and implementation services. Specific features and limits depend on the plan you select.

3. Payment, Subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms in addition to these Terms.

4. Acceptable Use

You agree not to misuse the Services. You will not, and will not permit others to:

• use the Services for any unlawful, fraudulent, or deceptive purpose;
• send spam or unsolicited communications through the Services;
• infringe any intellectual property, privacy, or other rights of any third party;
• interfere with or compromise the security or integrity of the Services (including probing, scanning, scraping, or introducing malware);
• reverse engineer, resell, or redistribute the Services except as expressly permitted; or
• circumvent technical limits, quotas, or access controls.

5. AI Outputs and Human Oversight

The Services include generative and agentic AI features. AI outputs may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for your inputs, for how you use outputs, for verifying accuracy, and for ensuring you have the rights to any content you submit. Outputs are not a substitute for professional, legal, medical, financial, or other regulated advice, and require appropriate human review before use in decisions affecting customers, patients, employees, or the public.

We reserve the right to moderate content, filter or refuse outputs, restrict features, and suspend accounts that violate these Terms or applicable law. Repeat infringement of third-party rights will result in account termination; rights-holders may submit takedown requests to legal@myccgroup.com.

6. Intellectual Property

Cogent retains all right, title, and interest in and to the Services, including all related software, models, prompts, workflows, documentation, and branding. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription term.

You retain ownership of the content you submit ("Customer Content") and grant Cogent a limited license to host, process, and display Customer Content solely to provide and improve the Services.

7. Service Availability

We work to keep the Services available and performing well, but we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. Scheduled maintenance, third-party outages, and force majeure events may affect availability.

8. Suspension and Termination

We may suspend or terminate your access to the Services for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Services ends and, unless prohibited by law, we may delete Customer Content after a reasonable export window.

9. Warranty Disclaimer

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Cogent disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Cogent's aggregate liability arising out of or related to the Services will not exceed the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to liability. Cogent will not be liable for any indirect, consequential, incidental, special, or punitive damages, including lost profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law (including fraud, death, or personal injury caused by negligence).

11. Indemnification

You will defend, indemnify, and hold harmless Cogent and its officers, directors, employees, and agents from any third-party claim arising out of Customer Content, your unlawful use of the Services, or your breach of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Alabama, USA, without regard to its conflict of laws principles. The state and federal courts located in Alabama will have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections in your jurisdiction.

13. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14. Changes

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
